  • Scope of Services
    Setu Advisors provides: Company incorporation, secretarial & annual filings, corporate governance advice, audit support, RBI‑FEMA compliance, MSME/GST registration, IP registration, labour laws compliance, mergers & restructuring guidance, and related legal advising.

  • Client Obligations

    • Provide accurate and timely information and documents.

    • Respond promptly to queries and notifications.

    • Disclose changes that may affect compliance (e.g., board changes, business model, share structure).

  • Fees & Payment

    • Fees are based on the scope of work and complexity.

    • Invoices must be settled per agreed payment milestones.

    • Delay ≥30 days may lead to service suspension.

  • Confidentiality & Data Security

    • All client data is strictly confidential.

    • We follow secure data-handling and storage protocols as per applicable laws.

  • Limitation of Liability

    • Setu Advisors provides guidance but is not liable for penalties resulting from willful omission of client-provided information.

    • Our liability is capped at the fees paid for the specific service.

  • Intellectual Property

    • Unless explicitly stated, IP rights in deliverables remain with the client.

    • Any templates or tools provided by Setu Advisors are proprietary.

  • Term & Termination

    • Engagements commence upon counter-signed agreement and initial payment.

    • Either party may terminate with 30 days’ written notice.

    • Outstanding payments remain due post-termination.

  • Dispute Resolution & Jurisdiction

    • Disputes are resolved via mutual negotiation; if unresolved within 30 days, referred to arbitration under the Arbitration and Conciliation Act, 1996, in Delhi.

    • The Delhi courts have exclusive jurisdiction over arbitration awards.

  • Governing Law

    • Interpreted per Indian laws and regulations.

  • Amendments

    • Setu Advisors may update these terms. Clients will be notified, and continuing services indicates acceptance of revised terms.
